Terms & Conditions
Last Updated: 12 April 2025 · Effective Date: 12 April 2025
These Terms and Conditions ("Terms") govern your use of the Padu Consult website at padua-consult.info and your engagement with consulting services provided by Padu Consult Sdn. Bhd. ("Padu Consult", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.
1. Definitions
- "Service" means the business consulting engagements and related deliverables provided by Padu Consult.
- "Client" or "You" means any individual or organisation that engages Padu Consult for services or uses this website.
- "Agreement" refers to these Terms together with any signed engagement proposal or statement of work.
- "Deliverables" means documents, reports, plans, and other materials produced as part of a consulting engagement.
- "Engagement" means a specific consulting project with a defined scope, timeline, and fee.
2. Acceptance of Terms
By using this website, you confirm that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. Organisations entering into an engagement confirm that the person signing has authority to do so on the organisation's behalf.
3. Services Description
Padu Consult provides business consulting services to Malaysian companies and organisations. Our core offerings include Stakeholder Engagement Mapping, Process Redesign Lab engagements, and Regional Expansion Blueprint advisory. Services are delivered in Kuala Lumpur and, where applicable, in target ASEAN markets. Availability is subject to our current capacity.
4. Engagement Terms
Each consulting engagement is governed by:
- A written engagement proposal stating the scope, timeline, deliverables, and fee.
- A mutual non-disclosure agreement, signed prior to the sharing of confidential information.
- These Terms, which apply to all engagements unless otherwise stated in writing.
Work commences only after both parties have confirmed the engagement scope in writing.
5. User Responsibilities
When using our website or engaging our services, you agree to:
- Provide accurate and complete information in all communications and forms.
- Not use our website for any unlawful, misleading, or harmful purpose.
- Not attempt to interfere with the security or functionality of our website.
- Cooperate reasonably during consulting engagements, including providing access to relevant information, team members, and documentation as agreed.
6. Intellectual Property
All website content — including text, design, structure, and methodology documentation — is the property of Padu Consult Sdn. Bhd. and is protected by Malaysian intellectual property law.
Deliverables produced during a consulting engagement are transferred to the client upon full payment. Padu Consult retains the right to use anonymised case study data for internal learning and general methodology development, subject to confidentiality obligations.
Padu Consult's proprietary tools, templates, and frameworks used during engagements remain the intellectual property of Padu Consult. Clients receive a licence to use completed deliverables within their own organisation but may not resell or distribute them without written consent.
7. Fees and Payment
All fees are quoted in Malaysian Ringgit (RM) and are stated in the engagement proposal. Payment terms are as follows:
- For engagements up to four weeks: 50% deposit upon engagement confirmation, balance upon delivery of final deliverables.
- For multi-month engagements: milestone-based invoicing as defined in the engagement proposal.
- Invoices are payable within 14 days of issue.
- Late payment may result in a suspension of work until outstanding amounts are settled.
8. Cancellation and Refunds
If a client cancels a confirmed engagement before work has commenced, the deposit paid is non-refundable but will be credited toward a future engagement confirmed within six months. If a client cancels after work has commenced, fees are due for work completed to the cancellation date. If Padu Consult cancels an engagement due to capacity constraints, all fees paid will be refunded in full.
9. Confidentiality
Both parties agree to maintain the confidentiality of business information shared during an engagement, as governed by the mutual NDA signed at the start of each engagement. Obligations of confidentiality survive the conclusion of the engagement for a period of three years.
10. Disclaimers
Our consulting services are provided in good faith based on information available at the time of the engagement. Padu Consult does not provide legal advice, financial advice, or any other regulated professional services. Recommendations are advisory in nature and their implementation remains the sole responsibility of the client. Results achieved may vary based on factors outside our control.
This website is provided on an "as is" basis. We do not warrant that it will be free from errors or interruptions.
11. Limitation of Liability
To the extent permitted by Malaysian law, Padu Consult's total liability in connection with any engagement shall not exceed the fees paid for that specific engagement. We shall not be liable for indirect, incidental, or consequential losses, including lost profits or business interruption, even if we have been advised of the possibility of such losses.
12. Indemnification
You agree to indemnify Padu Consult against any claims, losses, or damages arising from your misuse of our website, provision of inaccurate information, or breach of these Terms.
13. Termination
Either party may terminate an engagement by providing written notice. Termination does not affect obligations that accrued before the termination date. Provisions relating to intellectual property, confidentiality, payment of fees for work completed, and limitation of liability survive termination.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of Malaysia. Any disputes arising from these Terms or any engagement shall first be addressed through informal discussion between the parties. If unresolved, disputes shall be submitted to the jurisdiction of the courts of Malaysia, with Kuala Lumpur as the agreed venue.
15. General Provisions
- Entire Agreement: These Terms and any signed engagement proposal constitute the full agreement between the parties for the matters described.
- Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full effect.
- Waiver: Failure to enforce any provision shall not constitute a waiver of the right to enforce it in future.
- Assignment: You may not assign your rights under these Terms without our prior written consent.
16. Changes to These Terms
We may update these Terms from time to time. Updated Terms will be published on this page with a revised effective date. Continued use of our website or services following an update constitutes acceptance of the revised Terms.
