Terms & Conditions

These Terms and Conditions ("Terms") govern your use of the Padu Consult website at padua-consult.info and your engagement with consulting services provided by Padu Consult Sdn. Bhd. ("Padu Consult", "we", "us", or "our"). By accessing our website or engaging our services, you agree to be bound by these Terms.

Padu Consult provides business consulting services to Malaysian companies and organisations. Our core offerings include Stakeholder Engagement Mapping, Process Redesign Lab engagements, and Regional Expansion Blueprint advisory. Services are delivered in Kuala Lumpur and, where applicable, in target ASEAN markets. Availability is subject to our current capacity.

6. Intellectual Property

All website content — including text, design, structure, and methodology documentation — is the property of Padu Consult Sdn. Bhd. and is protected by Malaysian intellectual property law.

Deliverables produced during a consulting engagement are transferred to the client upon full payment. Padu Consult retains the right to use anonymised case study data for internal learning and general methodology development, subject to confidentiality obligations.

Padu Consult's proprietary tools, templates, and frameworks used during engagements remain the intellectual property of Padu Consult. Clients receive a licence to use completed deliverables within their own organisation but may not resell or distribute them without written consent.

7. Fees and Payment

All fees are quoted in Malaysian Ringgit (RM) and are stated in the engagement proposal. Payment terms are as follows:

8. Cancellation and Refunds

If a client cancels a confirmed engagement before work has commenced, the deposit paid is non-refundable but will be credited toward a future engagement confirmed within six months. If a client cancels after work has commenced, fees are due for work completed to the cancellation date. If Padu Consult cancels an engagement due to capacity constraints, all fees paid will be refunded in full.

9. Confidentiality

Both parties agree to maintain the confidentiality of business information shared during an engagement, as governed by the mutual NDA signed at the start of each engagement. Obligations of confidentiality survive the conclusion of the engagement for a period of three years.

10. Disclaimers

Our consulting services are provided in good faith based on information available at the time of the engagement. Padu Consult does not provide legal advice, financial advice, or any other regulated professional services. Recommendations are advisory in nature and their implementation remains the sole responsibility of the client. Results achieved may vary based on factors outside our control.

This website is provided on an "as is" basis. We do not warrant that it will be free from errors or interruptions.

11. Limitation of Liability

To the extent permitted by Malaysian law, Padu Consult's total liability in connection with any engagement shall not exceed the fees paid for that specific engagement. We shall not be liable for indirect, incidental, or consequential losses, including lost profits or business interruption, even if we have been advised of the possibility of such losses.

12. Indemnification

You agree to indemnify Padu Consult against any claims, losses, or damages arising from your misuse of our website, provision of inaccurate information, or breach of these Terms.

13. Termination

Either party may terminate an engagement by providing written notice. Termination does not affect obligations that accrued before the termination date. Provisions relating to intellectual property, confidentiality, payment of fees for work completed, and limitation of liability survive termination.

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of Malaysia. Any disputes arising from these Terms or any engagement shall first be addressed through informal discussion between the parties. If unresolved, disputes shall be submitted to the jurisdiction of the courts of Malaysia, with Kuala Lumpur as the agreed venue.
